These Terms of Service ("Terms") govern your access to and use of the website and services provided by Valrix Technology ("Valrix", "we", "our", or "us"). By accessing or using our services, you agree to be bound by these Terms. If you do not agree, please refrain from using our services.

1. Acceptance of Terms

By accessing our website at www.valrix.in or engaging our services, you confirm that you are at least 18 years of age, have read and understood these Terms, and agree to be legally bound by them. These Terms apply to all visitors, users, and clients.

2. Services

Valrix Technology provides software development, mobile application development, cloud integration, SEO optimization, digital marketing, and related technology services. Specific scope, deliverables, timelines, and pricing for any engagement are agreed upon in a separate Statement of Work (SOW) or Service Agreement.

3. Client Responsibilities

You agree to:

• Provide accurate and complete information required for project delivery
• Review and provide timely feedback on deliverables as agreed
• Ensure you have the right to share any materials, content, or assets provided to us
• Not use our services for any unlawful, harmful, or fraudulent purpose
• Keep login credentials and project access details confidential

4. Intellectual Property

4.1 Client-Owned Deliverables

Upon full payment of all fees, Valrix assigns all intellectual property rights in the custom deliverables created specifically for you to you, subject to any third-party licenses for open-source components.

4.2 Valrix IP

We retain all rights to our pre-existing intellectual property, internal tools, frameworks, and methodologies. Any tools or code we develop independently of the project scope remain the property of Valrix.

4.3 Portfolio Rights

Unless you request confidentiality in writing, we reserve the right to reference and display your project in our portfolio and marketing materials.

5. Payment Terms

• Payment schedules are defined in individual project agreements
• Invoices are due within the timeframe specified in your contract
• Late payments may incur interest charges as specified in the agreement
• Work may be paused if invoices are significantly overdue
• All prices are exclusive of applicable taxes unless stated otherwise

6. Confidentiality

Both parties agree to maintain strict confidentiality regarding proprietary information, business processes, technical details, and any data shared during the engagement. This obligation survives termination of the agreement for a period of 3 years.

7. Warranties and Disclaimers

We warrant that our services will be performed with reasonable care, skill, and diligence. However, to the maximum extent permitted by applicable law:

• We do not warrant that our services will be error-free or uninterrupted
• We disclaim all implied warranties of merchantability and fitness for a particular purpose
• We are not responsible for the performance of third-party services or platforms integrated into your project

8. Limitation of Liability

To the fullest extent permitted by law, Valrix's total liability to you for any claim arising from or relating to these Terms or our services shall not exceed the total fees paid by you to Valrix in the three (3) months preceding the claim. In no event shall we be liable for indirect, incidental, consequential, or punitive damages.

9. Termination

Either party may terminate a project engagement with written notice as specified in the project agreement. Upon termination:

• You will pay for all work completed up to the termination date
• We will provide all completed deliverables upon receipt of final payment
• Confidentiality obligations continue as stated in Section 6

10. Governing Law

These Terms are governed by the laws of India. Any disputes arising from these Terms or our services shall be subject to the exclusive jurisdiction of the courts in Noida, Uttar Pradesh, India.

11. Changes to Terms

We reserve the right to modify these Terms at any time. We will notify users of significant changes via email or a prominent notice on our website. Continued use of our services after the effective date of changes constitutes acceptance of the revised Terms.
